1. Overview
These Terms of Use (the "Terms") govern your access to and use of Sendpaper and the Sendpaper services (the "Service"), including our hosted product for secure document sharing, data rooms, engagement analytics, and related features.
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Who these Terms apply to
These Terms apply to:
- Account holders and authorized users at customer organizations
- Administrators who manage settings for their organizations
- Recipients of shared content (often called "Viewers" in product documentation)
- Visitors to our marketing website
If you are a Viewer, these Terms generally apply only to your access to the content through a link or data room. The customer that shared the content is responsible for the terms under which you receive that content.
3. Using the Service
3.1 Access and license
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for lawful business purposes in accordance with these Terms.
The Service may include features that allow downloads or other actions. Your permitted actions depend on the configuration selected by the customer who shared the content and on your account status.
3.2 Service changes
We may update the Service from time to time. If we make changes that materially reduce functionality for paying customers, we will provide notice when appropriate. Some features may be provided as beta or on an evaluation basis and may change or be discontinued.
3.3 Availability and maintenance
We may suspend or limit access for maintenance, security, or other operational reasons.
3.4 Content you upload and processing permissions
You and your organization retain ownership of the content you upload to Sendpaper. By using the Service, you grant Sendpaper a limited right to access, store, process, and transmit your content as needed to provide the Service and to carry out your sharing instructions (for example, controlling who can view, search, or download).
Your sharing settings determine what viewers can access. If you configure view-only access or other protections, viewers will only be able to access content in the way you permit.
3.5 Aggregated and anonymized insights
Sendpaper may create aggregated and anonymized insights from usage and engagement information (for example, to keep the service secure, to improve performance, and to operate analytics that do not expose personal data).
4. Customer and user responsibilities
4.1 Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs through your account.
4.2 Rights to content
You must have all rights and permissions needed to upload, store, share, and process content through the Service. You must not upload or share content that violates applicable law or third-party rights.
4.3 Acceptable use
You agree not to:
- Use the Service for unlawful purposes
- Interfere with the Service or attempt to gain unauthorized access
- Circumvent or disable security features or access controls
- Upload or transmit malware or other harmful code
- Misrepresent your identity or authority
- Violate privacy rights or intellectual property rights of others
- Ensure your account and sharing settings are appropriate for the content you share, including configuring access controls such as passwords and download permissions.
- Attempt to reverse engineer, decompile, or otherwise derive the source code or underlying ideas of the Service
- Use the Service to violate applicable laws or third-party rights
Sendpaper may investigate suspected abuse and take action consistent with these Terms, including restricting access.
4.4 Viewer behavior
If you are a Viewer, you agree to access content only through the links or invitations provided by the customer and only in the manner permitted by the customer's settings.
5. Customer data, processing instructions, and analytics
Customer organizations provide content and instructions through the Service. These instructions constitute direction for us to process customer data and related engagement information for the purpose of delivering the Service and reporting on engagement.
When you use Sendpaper to share content with Viewers, you may receive engagement information about how recipients interact with the content. That information is generated by activity within the Service (for example, open events, timestamps, and interaction signals).
You are responsible for:
- Informing the relevant recipients about how you will use engagement information
- Ensuring appropriate legal bases and consents where needed
- Retention and deletion decisions for the content you upload and the engagement data you receive through the Service
6. Fees, payment, and renewals
If you purchase subscriptions, you agree to pay all fees in accordance with the applicable order form or pricing plan.
Fees are generally non-refundable unless required by law or explicitly stated in the applicable agreement.
Some subscriptions may auto-renew. We may charge the renewal payment in accordance with your plan and the billing terms presented at signup.
Payment processing is handled by third-party processors. We generally do not store raw card details, and your card information is governed by the payment processor's privacy and security policies.
7. Intellectual property
Sendpaper and its licensors retain all right, title, and interest in and to the Service, software, and related intellectual property.
Customer organizations retain ownership of the content they upload. We only use content as needed to operate the Service and fulfill customer instructions.
You may provide feedback. If you do, you grant us the right to use it without restriction for any purpose.
8. Suspension and termination
We may suspend or terminate access to the Service if you violate these Terms, if we believe doing so is necessary to address security or legal risks, or if required by law.
Upon termination, we may disable access to your account. Depending on your plan and configuration, you may be able to retrieve your content for a limited time. After that period, we may delete content consistent with our retention practices and legal obligations.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE".
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted or error-free, or that your content will always be available in the exact format.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SENDPAPER OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDPAPER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SENDPAPER FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain exclusions or limitations. If those laws apply, some parts of this section may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Sendpaper and its affiliates from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your content or your organization's instructions
- Your violation of these Terms or applicable law
- Your violation of any third-party rights, including intellectual property and privacy rights
12. Dispute resolution and governing law
These Terms are governed by the laws of your location, without regard to conflict of laws principles.
Unless otherwise required by law, disputes will be resolved through informal negotiation first. If a dispute is not resolved, the parties may pursue legal remedies available under applicable law.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Your continued use of the Service after changes become effective means that you accept the updated Terms.
